1. Acceptance of Terms
Welcome to FiliCode. These Terms and Conditions govern your use of our website, services, proposals, invoices, project work, support plans, and digital solutions.
By accessing our website, submitting a form, requesting a quote, approving a proposal, making a payment, or using our services, you agree to these terms.
If you do not agree with these terms, you should not use our website or services.
2. Our Services
FiliCode provides professional digital services including:

3. Quotes and Project Approval
Any quote, proposal, or estimate provided by FiliCode is based on the information available at the time.
Final pricing may change if project requirements, features, integrations, deadlines, content, third-party costs, or scope change.
A project is confirmed only after written approval, agreed scope, and required payment or deposit.
4. Payments and Invoices
Payment terms will be listed in the proposal, invoice, contract, or written agreement.
Unless otherwise agreed, a deposit or advance payment is required before work begins.
Late payment may result in project delay, paused work, suspension of support, or withholding of files, access, or deliverables until payment is cleared.
5. Refund Policy
Payments for completed work, consultation, strategy, design, development, maintenance, SEO, AI automation, and technical services are generally non-refundable.
Refunds may be considered only in exceptional cases and must be approved in writing by FiliCode.
If a refund is approved, the amount may be reduced based on completed work, reserved time, third-party costs, administrative costs, and project status.
6. Project Scope and Revisions
Each project includes only the pages, features, services, integrations, revisions, and deliverables agreed in writing.
Any additional work outside the approved scope may require extra charges.
Major design changes, new features, new pages, advanced integrations, or changes after approval may be treated as additional work.
7. Client Responsibilities
You agree to provide all required information, access, content, feedback, and approvals needed to complete the work.
- Website content, images, branding, and business details
- Hosting, domain, CMS, CRM, or third-party access
- Product, service, legal, and company information
- Timely feedback, testing, and approvals
FiliCode is not responsible for delays caused by missing content, late approvals, incorrect information, unavailable access, or third-party issues.
8. Third-Party Tools and Services
Projects may involve third-party services such as hosting, domains, plugins, themes, APIs, analytics, payment gateways, email platforms, AI tools, CRM systems, or marketing tools.
FiliCode is not responsible for downtime, pricing changes, bugs, policy changes, data loss, account suspension, or service interruptions caused by third-party providers.
9. Intellectual Property Rights
You are responsible for ensuring that all content, logos, images, videos, trademarks, text, and files you provide are legally owned by you or properly licensed.
FiliCode retains ownership of pre-existing code, internal tools, reusable components, processes, templates, frameworks, and know-how unless otherwise agreed in writing.
After full payment, ownership of final approved project deliverables may be transferred to you, excluding third-party assets, licensed tools, stock assets, and FiliCode’s pre-existing materials.
10. SEO and Marketing Results
FiliCode may provide SEO and digital marketing services, but we do not guarantee specific rankings, traffic, leads, sales, revenue, conversions, or search engine results.
Search engines, competitors, algorithms, advertising platforms, market demand, and user behavior are outside our control.
11. AI Automation Services
AI automation services may use third-party AI platforms, APIs, workflow tools, or integrations.
AI-generated outputs may be inaccurate, incomplete, or require human review.
You are responsible for reviewing AI outputs before using them for business, legal, financial, medical, customer-facing, or operational decisions.
12. Maintenance and Support
Maintenance and support services are provided according to the selected plan or written agreement.
Unless included in your package, maintenance does not automatically include major redesigns, new features, malware recovery, hosting migration, emergency support, custom development, or third-party software fixes.
13. Confidentiality
Both parties agree to keep confidential business information private unless disclosure is required by law or necessary to complete the agreed services.
14. Portfolio Rights
Unless otherwise agreed in writing, FiliCode may display completed work, screenshots, website links, project summaries, client names, and case studies in our portfolio, proposals, and marketing materials.
15. Limitation of Liability
FiliCode will not be liable for indirect, incidental, special, or consequential damages, including loss of profit, revenue, data, business, reputation, traffic, leads, or customers.
Our total liability for any claim related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
You are responsible for maintaining backups, credentials, licenses, and business continuity unless backup management is included in your active maintenance plan.
16. Termination
FiliCode may suspend or terminate services if you breach these terms, fail to make payment, misuse our services, provide false information, or engage in unlawful, abusive, or harmful behavior.
You may terminate a project or service by giving written notice. Completed work, reserved time, third-party costs, active subscriptions, and non-refundable fees may still be payable.
17. Changes to These Terms
FiliCode may update these Terms and Conditions at any time. Updated terms will be posted on this page with a revised date.
Your continued use of our website or services after changes are posted means you accept the updated terms.
